Nigeria’s Dangote Petroleum Refinery has secured a $1 billion underwriting programme as it advances preparations for a planned initial public offering (IPO), a development that could further deepen investor participation in one of Africa’s most significant industrial projects.

The financing arrangement, announced by advisers Marob Strategies and Consulting DIFC Ltd and Lilium Capital Group, comprises a $600 million completed private placement and a $400 million underwriting commitment designed to provide additional support for the proposed public offering. Reuters reported the development on Tuesday, August 18, 2026.

The refinery has submitted an application for a potential $5 billion IPO to Nigeria’s Securities and Exchange Commission (SEC), although the final size of the offering has not yet been determined. The proposed listing is expected to broaden ownership of the refinery and provide investors with an opportunity to participate directly in one of Nigeria’s most strategically important energy assets.

The latest financing move comes amid growing expectations surrounding the refinery’s planned entry into Nigeria’s capital market. Reuters reported last week that Dangote Petroleum Refinery was targeting a retail-focused Nigerian IPO by October 2026, with the company prioritizing domestic participation rather than an immediate foreign listing. The company has said a foreign listing could be considered at a later stage.

Refinery expansion strengthens IPO significance

The planned listing comes as the 650,000 barrel per day refinery continues to expand its role in Nigeria’s petroleum industry and the wider African energy market.

The Lagos based facility has increased production of petrol, diesel, aviation fuel and other refined products, helping reduce Nigeria’s historical dependence on imported petroleum products. Reuters has also reported that the refinery has emerged as a major supplier of aviation fuel to international markets.

Dangote Refinery is also pursuing a major capacity expansion. Reuters reported that the company aims to increase refining capacity from 650,000 barrels per day to 1.4 million barrels per day within three years, with the IPO and debt financing expected to contribute to the expansion programme.

The Financial Times previously reported that Dangote secured $2.5 billion in private equity investment to support expansion of the refinery, with the facility’s valuation placed at around $40 billion at the time. The investment was expected to help finance an expansion that could make the refinery one of the largest refining facilities globally.

Potential milestone for Nigeria’s capital market

Beyond the refinery itself, the proposed IPO could become an important test of Nigeria’s ability to attract large scale domestic and international capital into productive assets.

A successful listing would potentially widen public ownership of a major African energy company while giving Nigeria’s equities market access to an asset with significant influence over domestic fuel supply and regional petroleum trade.

However, the proposed IPO remains subject to regulatory processes, market conditions and the final determination of the transaction size. The $400 million underwriting commitment is also conditional on market conditions and regulatory approvals when the IPO is launched.

For Nigeria, the significance of the planned listing extends beyond the value of the shares that may eventually be offered. It could provide a broader avenue for citizens, institutional investors and African capital markets to participate in the ownership and future growth of a refinery that has increasingly become central to the country’s energy security ambitions.
